General Terms and Conditions of Sale

1 – INTRODUCTION

EURO-SYMBIOSE is a professional training organisation with its registered office at 5, rue Thomas Edison, 44470 CARQUEFOU (France). EURO-SYMBIOSE offers and delivers both inter- and intra-company training courses, either face-to-face or remotely, as well as e-learning modules, consultancy services and e-books that complement its training sessions.

2 – PURPOSE

These general terms and conditions of sale (hereinafter referred to as the “GTC”) apply to all service offers proposed by EURO-SYMBIOSE and to all orders placed with EURO-SYMBIOSE by any professional client (hereinafter referred to as “the Client”).

Placing an order implies full and unreserved acceptance of the GTC by the Client.

The Client also acknowledges that, prior to placing any order, they received sufficient information and advice from EURO-SYMBIOSE to ensure that the service offer corresponds to their needs.

3 – EURO-SYMBIOSE SERVICE OFFERINGS

3.1 Inter-company training courses

3.1.1 Description
This section refers to inter-company training courses listed in the EURO-SYMBIOSE catalogue and delivered either on EURO-SYMBIOSE premises or on premises provided by EURO-SYMBIOSE.

3.1.2 Registration
Registration for an inter-company training session must be submitted in writing using the registration form available on the EURO-SYMBIOSE website.

Registration becomes definitive upon receipt of the Client’s payment or confirmation of coverage from the relevant OPCO.

3.1.3 Financial terms
The ex-VAT price indicated on the EURO-SYMBIOSE website includes training fees and lunch costs. Accommodation and travel expenses are borne directly by the Client.

3.1.4 Payment terms
Inter-company training services must be paid at the time of registration by credit card or bank transfer.

If payment is to be made by the Client’s OPCO, the Client must submit the funding request before the start of the training. If only partial coverage is granted by the OPCO, EURO-SYMBIOSE will directly invoice the Client for the outstanding amount. If EURO-SYMBIOSE does not receive confirmation of funding by the first day of training, it reserves the right to invoice the full training amount to the Client.

EURO-SYMBIOSE may, on a case-by-case basis, withhold the delivery of training certificates until full payment for services has been received.

3.1.5 Training agreement
For each training course, an agreement will be drawn up in accordance with Articles L6353-1 and L6353-2 of the French Labour Code, in two copies, one of which must be returned by the Client duly stamped by the company.

3.1.6 Cancellation by EURO-SYMBIOSE
For organisational or pedagogical reasons, EURO-SYMBIOSE reserves the right to cancel or postpone a training session. EURO-SYMBIOSE undertakes to inform registered participants no later than 15 days before the session start date. In such cases, any payments already received for the cancelled session will be reimbursed within 15 days.

3.1.7 Cancellation by the Client
No postponement or cancellation may be made less than 20 working days before the scheduled training date. Otherwise, the service will be due in full and invoiced accordingly.

Any training cycle started is fully due.

3.2 Intra-company training and consultancy

3.2.1 Description
This section applies to tailored training and consultancy services delivered on the Client’s premises or on premises made available by the Client.

3.2.2 Financial terms
All intra-company services will be subject to a prior commercial and financial proposal from EURO-SYMBIOSE.

EURO-SYMBIOSE offers remain valid for 6 months.

The service offer and scheduling only become definitive upon receipt of the Client’s purchase order.

A deposit of at least 30% of the total cost must be paid by the Client. This amount will be deducted from the final invoice issued at the end of the service. Should the Client cancel the order, this deposit will be retained by EURO-SYMBIOSE as liquidated damages.

For remote intra-company services, full payment will be required before delivery.

3.2.3 Invoicing terms
The billing address must be provided to EURO-SYMBIOSE at the same time as the purchase order.

EURO-SYMBIOSE will invoice the services to the legal entity specified by the Client within 8 days following the intervention.

Upon request, EURO-SYMBIOSE may issue separate invoices per site. This service will incur a fixed charge of €15 per additional site.

Travel expenses are re-invoiced at actual cost. A detailed list is attached to each invoice. Copies of supporting documents are available upon written request and will incur an administrative charge of €50.

3.2.4 Payment terms
Invoices for intra-company training and consultancy services are payable by cheque or bank transfer upon receipt. Failure to comply with payment obligations will result in the suspension of all scheduled services.

If payment is to be made by the Client’s OPCO, the Client must submit the funding request before the start of the training. If partial funding is granted, EURO-SYMBIOSE will invoice the balance directly to the Client. If EURO-SYMBIOSE does not receive the OPCO’s funding agreement by the first training day, it reserves the right to invoice the full training amount.

EURO-SYMBIOSE may, on a case-by-case basis, withhold the delivery of training certificates until full payment is received.

3.2.5 Training agreement
For each training course, an agreement will be drawn up in accordance with Articles L6353-1 and L6353-2 of the French Labour Code, in two copies, one of which must be returned by the Client duly stamped by the company.

3.2.6 Cancellation or postponement by the Client

3.2.7 Insurance
During production reorganisation projects managed by EURO-SYMBIOSE, any equipment moved for contract-related purposes remains the full responsibility of the Client.

3.3 Publications

3.3.1 Description
This section applies to the remote sale of publications listed in the EURO-SYMBIOSE catalogue.

3.3.2 Ordering, payment and delivery
All publication orders must be placed using the order form available on the EURO-SYMBIOSE website.

Payment is made by credit card.

Delivery (via download link for e-books or express post for printed materials) will be triggered upon receipt of payment.

3.4 Remote training guidelines

  • Use a computer equipped with a microphone, webcam and, ideally, a headset for better comfort. Note: Zoom or Teams virtual backgrounds are available to hide the background.

  • Ensure a strong internet connection – test it prior to the session.

  • Choose a quiet, isolated workspace; set your Teams status to “Do not disturb”; close your email; and mute your phone to avoid interruptions.

  • Participants from the same organisation must attend individually from separate desks to prevent side discussions. Virtual breakout rooms will be created for exercises, allowing mixed group work.

  • For remote qualification/certification exams, webcams and microphones must remain on. You may be asked to confirm that you are alone in the room.

  • Please connect 5 minutes before the session starts.

4 – INTELLECTUAL PROPERTY

All intellectual property rights relating to the training materials and other educational resources provided to the Client remain the exclusive property of EURO-SYMBIOSE.

The Client is strictly prohibited from reproducing, in whole or in part, adapting, modifying, translating, distributing, representing, commercialising or sharing these materials with third parties not participating in the training sessions, without prior written consent from EURO-SYMBIOSE.

5 – FORCE MAJEURE

EURO-SYMBIOSE shall not be held liable to the Client for failure to perform any of its obligations due to a force majeure event. The following shall be considered force majeure or fortuitous events, in addition to those usually recognised by French case law and without limitation: illness or accident involving a consultant or trainer, internal or external strikes or labour disputes affecting EURO-SYMBIOSE, natural disasters, fires, failure to obtain visas, work permits or other authorisations, new laws or regulations, interruption of communications, energy supply failures, transport or communication disruptions of any kind, or any other circumstance beyond the reasonable control of EURO-SYMBIOSE.

6 – APPLICABLE LAW – JURISDICTION

These general terms and conditions are governed by French law. In the event of a dispute arising between the Client and EURO-SYMBIOSE in connection with the execution of the contract, an amicable resolution will be sought. Failing that, the Commercial Court of Nantes shall have exclusive jurisdiction, even in the case of summary proceedings, multiple defendants, or third-party claims.

7 – GDPR CLAUSE – PERSONAL DATA PROTECTION

As part of its training, audit and consulting activities, EURO-SYMBIOSE collects and processes personal data relating to its clients and participants.
This data is collected for the following purposes: 1) Administrative, logistical and educational management of training sessions; 2) Management of registrations, invoicing and contractual relations; 3) Monitoring of attendance and assessment of learning outcomes; 4) Issuance of contractual and supporting documents (agreements, certificates, invoices, attendance sheets, etc.); 5) Compliance with legal and regulatory obligations of funding or supervisory bodies, particularly in the field of vocational training; 6) Sending of information (newsletters, invitations, informational content) if prior consent has been given.
The personal data collected may include: first name, last name, email address, phone number, job title, company, professional postal address, and information necessary for coverage by OPCOs or other funders or partners.
Data is processed on the basis of legal obligations, contract performance, or the consent of the data subject. It is intended for the authorized internal departments of EURO-SYMBIOSE, as well as its subcontractors and partners involved strictly within the scope of service delivery. Any data transfer is subject to appropriate safeguards.
Data is retained for no longer than necessary for the purposes for which it was collected, and in accordance with the applicable legal retention periods (particularly in accounting, taxation and vocational training control). After these periods, data is securely deleted or archived.
In accordance with Regulation (EU) 2016/679 of April 27, 2016 (GDPR) and the amended French Data Protection Act, every data subject has the right of access, rectification, objection, deletion, restriction of processing, and data portability, which may be exercised by sending a request by email (RGPD@euro-symbiose.fr), by mail (EURO-SYMBIOSE, 5 rue Thomas Edison 44470 CARQUEFOU) or by telephone (+33.251.131.300). A response will be provided within a maximum of one month.
In case of doubt about the exercise of their rights, the data subject may lodge a complaint with the CNIL (
www.cnil.fr).
